Are both 64MB sticks the same? It could be an incompatibility between the two sticks if they are different- like if one stick is PC66 and the other is PC100 or if one is CAS3 and the other is CAS2.
Your board should operate with as much as 256MB (128MBx2) of low density RAM, although it won't cache that much.
