If you don't need to reformat you can just do an upgrade by putting in the XP disk and let it fly. If you only have the upgrade then W2K will need to be installed anyway. If you need to format, set your computer to boot from CD in the BIOS, boot computer with CD rom support and (fdisk and or format from the dos promt) reboot and install. You may also choose to dual boot between the two.
