"Even with No RAM" you get the same beep. It's a ram problem.
What kind of ram are you using? I always used Micron Ram on the FIC VA503+ or Crucial. If the Ram isn't right the board will not boot up. It is a wee bit finicky. Micron Sims (EDO) or Micron or Crucial Dimms, PC 100. If the ram isn't right you also will not install an OS. Trust me on that one.

The jumper settings for Non PC 100, 100FSB (I assume the K62-350 is not a 66MZ processor) CLK4 (1-2) SDRAM1(2-3), SDRAM 2 (1-2) Sdram3 (2-3) and the CPU external clock would be CLK1 (1-2) CLk2 (1-2) CLK3(2-3)
Frequency is FREQ1, 2 & 3 are all set at (1-2)for 350 MZ. Volts are 2.2

It only supports 3.3V unbuffered EDO/SDRAM in Dimm 1 & 2. Simms have to be either 70NS or less.
The 128 meg stick I bought this last time was Crucial PC100 for a VA 503+. Before that I always used Micron.
