Hardware offers onboard DSP so the CPU utilization is way lower, you can get features like RAID 5 with litle performance hit, and they usually have a nice cache of memory on them as well. A typical hardware RAID card is about twice the size of the Promise.

The Promise does little more than act as an ordinary PCI IDE adapter. It does minor stuff on board, but the majority of the work is done on your CPU. And yes, the major advantage of the Promise over software RAID through the OS is that you can install the OS to the Promise stripe (and they have really well developed drivers, so their software RAID is pretty efficient) so you don't have to have a 3rd boot drive.
