I don't think that you would need to replace your ram or any peripherals for the athlon overclock. You might not be able to boost the FSB up very high but you can always play with the multiplier. I think that the multiplier maxes out at 12 or so but to get 1333@133 FSB you only need a multiplier of 10. As for the mobo, you'll have to change it anyway with the P4. I'm a bit out of the loop concerning P4's, but don't you need some crazy expensive rambus ram?

Overclocking doens't have to be expensive. In my experience, I've always managed to save a decent amount of cash. The best was my celeron 566 who could hit 975 with a simple heatsink and fan!
