I would recommend the PIII as an upgrade. If your PC 100 RAM is of good quality you may have an opportunity to O/C to 133. I would also recommend the PIII 700 100MHz FSB model with CBo or CCo stepping. Ive got a 700 at 150FSB witch has overclocked very well compared to an early stepping 650.
Abit and Ausus are good board choices although others here have their preferences.I love the Abit Soft Menu feature!!
